What Is CAC Incorporation?

CAC incorporation refers to the process of registering a business or company with the Corporate Affairs Commission (CAC) — the government body responsible for regulating the formation and management of companies and businesses in Nigeria.
It gives your business a legal identity, separate from you as the owner, and allows you to operate officially under Nigerian law.

Types of Business Registration

Under the CAC, you can register the following entities:

A. Business Name (BN)

For sole proprietors or small partnerships.
Examples: Freelancers, small retail shops, artisans, etc.

  • Simple structure
  • Cheaper registration
  • Not a separate legal entity
  • owner is personally liable for debts.

B. Company (Incorporated Entity)

Companies are distinct legal persons. They can own property, sue, and be sued.
Two main types:

  1. Private Limited Company (Ltd) — for-profit business owned by 1–50 shareholders.
  2. Public Limited Company (PLC) — shares can be publicly traded.
  3. Company Limited by Guarantee (Ltd/Gte) — usually for NGOs or non-profit organizations.
  4. Unlimited Company — rare; owners have unlimited liability.

C. Incorporated Trustees (IT)

For NGOs, churches, foundations, and associations.
It’s non-profit and not owned by individuals.

 

Who Can Register?

  • Any Nigerian citizen or resident (18 years and above)
  • Foreign individuals or entities (through local agents or representatives)
  • A minimum of one director/shareholder for small private companies (CAMA 2020 reduced it from two)

    • ID card proferably NIN (snap and send)

  • Share capital
  • Shareholders and share formula/percentage

Requirements for Business Name Registration

  • Two unique proposed names (in order of preference).
  • Proprietor’s Information which includes: Full Name, Residential Address (including house number), Date of Birth, Phone Number, and Email Address.
  • Office Information which includes: Your Business Address, Office Email Address, and Office Phone Number.
  • A brief description of your business activities.
  • Passport & Signature: A clear passport photograph and a snapshot of your signature on a plain white sheet.
