OUR COMPANY MAY BE REGISTERED WITH CAC — BUT IS IT STILL IN GOOD STANDING?
The Corporate Affairs Commission (CAC) has issued a public notice of its intention to strike off 100,000 companies from the Register in Batch 6, pursuant to Section 692(3) and (4) of the Companies and Allied Matters Act (CAMA) 2020. The notice was published on 15 July 2026, giving affected companies an opportunity to regularise their outstanding compliance obligations.
WHAT DOES THIS MEAN FOR BUSINESS OWNERS?
If your company has outstanding annual returns, you should not assume that because your CAC certificate still exists, everything is fine.
Annual returns are an ongoing compliance obligation. CAC specifically identifies the maintenance of corporate records and annual returns as part of its regulatory functions.
If a company is struck off, its name is removed from the Register. This can create serious practical problems when the business needs to demonstrate that it is properly maintained on the corporate register — for example, during contracts, banking, regulatory processes, due diligence, or other corporate transactions.
WHAT SHOULD YOU DO NOW?
If you have not filed your company’s annual returns for one or more years, do not wait until the deadline.
First, confirm your company’s current CAC status and determine exactly which annual returns are outstanding. Then regularise the outstanding filings and address any other compliance issues reflected on the company’s records.
CAC’s current service information confirms that annual returns are available as a post-registration service, with a published processing timeline of 24 working hours once the required submission is properly made.
Your CAC registration is not a one-time exercise. Keeping the company compliant is part of keeping the company active and in good standing.
